for Minduit A/S
Use and Acceptance of Terms
These Terms and Conditions apply to all agreements and collaborations entered into between Minduit A/S (“Minduit”) and the Customer, unless otherwise agreed in writing.
By entering into an agreement with Minduit or by using Minduit’s services, the Customer accepts these Terms and Conditions. The Terms define the framework for the collaboration, including the provision of services, responsibilities, payment and other applicable conditions.
If the Customer does not accept these Terms and Conditions, no agreement should be entered into with Minduit.

1. General
These Terms and Conditions apply to all agreements entered into between Minduit and the Customer, unless otherwise agreed in writing. By entering into an agreement, the Customer accepts these Terms and Conditions as well as applicable Danish law.
All prices are stated in Danish kroner (DKK) exclusive of VAT, unless otherwise specified in the agreement.
Minduit reserves the right to use the Customer as a reference for marketing purposes, unless otherwise agreed in writing.
2. Services and Collaboration
Minduit provides digital services including, but not limited to, analysis, conversion rate optimisation (CRO), performance marketing, tracking, websites, automation and advisory services.
The specific services, deliverables, timelines and any success criteria are defined in the individual agreement between the parties.
3. Subcontractors
Minduit is entitled to use subcontractors. Minduit remains responsible for the subcontractors’ services in the same manner as for its own services.
4. Customer Obligations
The Customer is responsible for providing all necessary information, access and materials in a timely manner, including access to relevant systems, platforms and accounts.
Minduit cannot be held liable for delays or deficiencies caused by circumstances attributable to the Customer.
5. Tracking, Data and Analysis
Where Minduit sets up tracking, analytics tools or dashboards, ownership of the data remains with the Customer, unless otherwise agreed.
Minduit cannot guarantee data quality or results if tracking is implemented or modified by the Customer or a third party without Minduit’s prior written approval.
6. Advertising and Marketing Platforms
When advertising through third-party platforms (e.g. Google, Meta, LinkedIn and similar), any stated budgets are indicative only.
Minduit cannot be held responsible for the operation of such platforms, including changes to algorithms, pricing, policies or availability.
7. Intellectual Property Rights
Minduit retains all intellectual property rights to methods, concepts, models, code and tools developed as part of the collaboration, unless otherwise agreed in writing.
The Customer is granted a right of use to delivered materials to the extent provided for in the agreement.
8. Limitation of Liability
Minduit’s liability is limited to direct losses and shall in no event exceed the total fees paid by the Customer for the relevant service during the preceding six (6) months.
Minduit shall not be liable for indirect losses, including loss of operations, loss of revenue, loss of profit or consequential damages.
Minduit does not guarantee specific results, including rankings, conversion rates or financial returns.
9. Payment and Invoicing
Invoicing is carried out in accordance with the agreed terms.
Unless otherwise agreed, the payment term is eight (8) days from the invoice date. In the event of late payment, Minduit reserves the right to suspend services and charge interest and fees in accordance with applicable law.
10. Termination
Termination of ongoing agreements must be made in writing in accordance with the notice period specified in the agreement. Work already performed shall be invoiced regardless of termination.
11. Force majeure
Minduit shall not be held liable for failure to fulfil its obligations due to force majeure, including but not limited to strikes, system failures, natural disasters, war, governmental actions or unavailability of third-party platforms.
12. Confidentiality
The parties undertake to keep confidential any non-public information exchanged as part of the collaboration.
13. Governing Law and Jurisdiction
Any agreement between Minduit and the Customer shall be governed by Danish law. Disputes shall be sought resolved amicably and, if not possible, finally settled by the Danish courts.
